    1. About Lotify

    Lotify is an online platform that enables motor dealers to connect, communicate, and introduce potential vehicle transactions. Lotify is a technology platform only and is not a dealer, broker, agent, intermediary, or party to any transaction between users.

    2. Acceptance of Terms

    By accessing or using Lotify, you agree to these Terms. If you do not agree, you must not use the platform.

    3. Eligibility

    You must be a business operating within the motor trade and must provide accurate, complete, and up-to-date information at all times.

    4. Nature of the Service

    Lotify allows users to post vehicle "Wanted" listings and respond with vehicles that may match those requirements. The platform facilitates introductions and communication only. All negotiations, agreements, and transactions occur directly between users outside of the platform.

    5. No Agency or Brokerage

    Lotify acts solely as a neutral technology platform. We do not act as an agent, broker, dealer, or representative of any user and have no authority to negotiate, arrange, or conclude transactions on behalf of any party.

    6. No Contract or Transaction Involvement

    Any contract for the sale or purchase of a vehicle is formed solely between users. Lotify is not a party to any agreement and does not participate in, control, or enforce any transaction.

    7. Dealer Verification

    Lotify operates as a trade-only platform for UK motor dealers. As part of the registration process, we carry out checks to confirm that applicants are operating as genuine motor trade businesses before granting access to the platform. These checks are limited in scope and do not constitute an endorsement or guarantee of any user’s identity, legitimacy, creditworthiness, conduct, or the accuracy of information provided. All users remain solely responsible for conducting their own due diligence before entering into any transaction. This includes, but is not limited to, verifying the identity of counterparties, inspecting vehicles, and independently confirming all relevant details. Lotify acts solely as a platform to facilitate introductions between dealers. It does not act as a dealer, broker, or agent in any transaction and accepts no responsibility or liability for any dealings, agreements, or disputes between users.

    8. User Responsibilities

    You are solely responsible for conducting due diligence, verifying counterparties and vehicles, complying with all applicable laws, and negotiating and completing transactions safely.

    9. Listings and User Content

    You are responsible for all content you upload, including listings, descriptions, images, and messages. Content must be accurate, lawful, and not misleading. You grant Lotify a non-exclusive, worldwide, royalty-free licence to use, display, and store your content for the purpose of operating the platform. Lotify may remove, restrict, or modify content at its discretion.

    10. Communications

    Lotify provides messaging tools but does not monitor or control communications between users and is not responsible for any content or outcomes arising from such communications.

    11. Prohibited Use

    You must not engage in fraud, misrepresentation, or unlawful activity; post false or misleading information; use the platform for non-genuine or speculative purposes; or attempt to scrape, extract, or misuse platform data.

    12. Accounts and Access

    Lotify may approve, suspend, or terminate accounts at its discretion, including where misuse, fraud, or breach of these Terms is suspected.

    13. Fees

    Lotify may charge subscription fees for access to the platform. Fees are payable as agreed and are non-refundable unless stated otherwise.

    14. Service Availability

    The platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, secure, or error-free operation and may modify or discontinue the service at any time.

    15. No Reliance

    You acknowledge that you do not rely on Lotify for advice, valuation, verification, or transaction support. Any decision to enter into a transaction is made entirely at your own risk.

    16. Limitation of Liability

    To the fullest extent permitted by law, Lotify shall not be liable for any transaction between users, loss of profit, revenue, or business, indirect or consequential loss, or reliance on listings, communications, or platform content. Use of the platform is entirely at your own risk.

    17. Indemnity

    You agree to indemnify and hold Lotify harmless from any claims, losses, damages, or liabilities arising from your use of the platform, your content, or any transaction you enter into.

    18. Intellectual Property

    All rights in the platform, including software, branding, and content, are owned by Lotify. You may not copy, reproduce, or use them without permission.

    19. Entire Agreement

    These Terms constitute the entire agreement between you and Lotify in relation to the platform.

    20. Assignment

    You may not assign or transfer your rights without our consent. We may assign or transfer our rights at any time.

    21. Severability

    If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force.

    22. Third-Party Rights

    No third party shall have any rights to enforce these Terms.

    23. Changes to Terms

    Lotify may update these Terms at any time. Continued use of the platform constitutes acceptance of any changes.

    24. Governing Law

    These Terms are governed by the laws of England and Wales.
